Meeting Details
The 90th Annual General Meeting of the Company was held on Friday, July 31, 2026 at 02:30 P.M. IST through Video Conferencing (VC) / Other Audio Visual Means (OAVM). The meeting was conducted in accordance with multiple MCA Circulars issued between 2020 and 2025.
Proposed Resolutions
Three resolutions were proposed for shareholder approval:
<A> ORDINARY BUSINESS:
- Resolution 1 (Ordinary Resolution): To consider and adopt the Audited Financial Statements of the Company for the financial year ended March 31, 2026, together with the Report of the Board of Directors and the Statutory Auditors thereon.
- Resolution 2 (Ordinary Resolution): To re-appoint Mr. Chandra Kant Birla (DIN: 00118473), who retires by rotation at this Annual General Meeting.
<B> SPECIAL BUSINESS:
- Resolution 3 (Ordinary Resolution): Ratification of remuneration payable to Cost Auditor.
Voting Process and Methods
The remote e-voting period remained open from 09:00 A.M. IST on Tuesday, July 28, 2026 up to 5:00 P.M. IST on Thursday, July 30, 2026. Shareholders holding shares as on the cut-off date of Friday, July 24, 2026 were entitled to vote. The Company also provided e-voting facility at the AGM for shareholders attending through VC/OAVM who had not voted through remote e-voting. National Securities Depository Limited (NSDL) was engaged as the agency to provide facilities for both remote e-voting and e-voting at the AGM.

Resolution 3: Ratification of Cost Auditor Remuneration

- In Favor: 10,57,20,744 votes (99.9968%) from 159 members
- Against: 3,299 votes (0.0032%) from 8 members
- Invalid Votes: 11,50,000 votes from 1 member
All three resolutions were passed with the requisite majority by the shareholders of the Company.
Scrutinizer's Role and Findings
Atul Kumar Labh, Practising Company Secretary (FCS — 4848 / CP - 3238) and partner of Labh & Labh Associates, Company Secretaries, Kolkata was appointed as scrutinizer. The scrutinizer's responsibility was restricted to making a report of the votes cast based on reports generated from NSDL's e-voting system. The votes were unblocked on July 31, 2026 around 03:45 P.M. IST after the completion of the AGM in the presence of two independent witnesses: Mr. Rohit Kumar and Ms. Anushree Dasgupta, who are not employees of the Company.

The voting process was conducted in compliance with Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014, as well as relevant MCA Circulars and SEBI Regulations.
