The 46th Annual General Meeting of Pakka Limited will be held on Tuesday, 29 September 2026 at 10:30 a.m. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The registered office of the Company at 312, Plaza Kalpana Society, 24/147, B-49, Birhana Road, Kanpur, Uttar Pradesh - 208001, India, is deemed to be the venue of the AGM.

Proposed Resolutions and Implications

Ordinary Businesses

1. To receive, consider and adopt the Audited Standalone Financial Statements for the financial year ended 31st March, 2026 together with the reports of the Board of Directors and the Auditors thereon.

2. To receive, consider and adopt the Audited Consolidated Financial Statements for the financial year ended 31st March, 2026 together with the report of the Auditors thereon.

3. To reappoint Mr. Gautam Ghosh (DIN: 10371300) as an Executive Director liable to retire by rotation.

4. To reappoint Mr. Himanshu Kapoor (DIN: 07926807) as a Non-Independent, Non-Executive Director liable to retire by rotation.

Special Businesses

5. Alteration of the Articles of Association by insertion of provisions relating to an Observer and a Nominee Director (Special Resolution). This amendment is required pursuant to a debenture trust deed dated May 29, 2026, executed with Catalyst Trusteeship Limited for the issuance of debentures aggregating up to ₹540 crore. The new Articles (90A-90E) would allow the Debenture Trustee to appoint an Observer and, upon an Event of Default, a Nominee Director.

6. To approve clarification to the objects of the preferential issue of equity shares and fully convertible warrants approved by members on May 05, 2026 (Special Resolution). This seeks to clarify that ₹50 crore from the issue proceeds (₹51.095 crore received) was used to repay part of a term loan from Canara Bank availed for Project Jagriti, which is consistent with the original objects of the issue.

Voting Process and Methods

The Company is providing facilities for:

  • Remote e-voting through NSDL: The remote e-voting period commences on Saturday, 26th September, 2026, at 9:00 a.m. (IST) and ends on Monday, 28th September, 2026, at 5:00 p.m. (IST).
  • E-voting during the AGM through VC/OAVM for members who have not cast their vote by remote e-voting.

The cut-off date for determining members entitled to vote is Wednesday, 23rd September, 2026. Members holding shares in dematerialized form can vote through their depository accounts, while physical shareholders can vote using their folio numbers.

Key Voting Outcomes and Scrutinizer

  • Mr. Amit Gupta, Practicing Company Secretary (Membership No. FCS 5478 & CP No. 4682), has been appointed as the Scrutinizer to scrutinize the remote e-voting process and e-voting during the AGM.
  • The Scrutinizer will submit a consolidated report to the Chairman after the AGM.
  • The results will be announced not later than 2 working days from the conclusion of the AGM and will be placed on the Company's website (https://www.pakka.com) and NSDL's website.

Additional Information

  • No dividend has been recommended for the financial year ended 31 March 2026.
