Agreement Details
Paras Defence and Space Technologies Limited (PARAS) has signed an IP License Agreement with Tandem Defense LLC, a Georgia limited liability company. Tandem Defense LLC is a wholly owned subsidiary of Autonomous Power Corporation, Delaware (referred to as "Powerus" in the document).
The agreement is for the Guardians Interceptor Technology. Specifically, the licensed product is the Guardian-1 Interceptor, described as a high-speed, battery-powered counter-drone system designed to combat low-cost aerial threats.
Purpose and Terms
The purpose of the agreement is for Powerus to grant Paras an exclusive, non-transferable, and non-sublicensable license to use the Licensed IP solely within the territory of India. The license is for the purpose of manufacturing and commercializing the Products in India. Other parties have been appointed for the management of IP licenses, defence, product manufacturing, and sales operations in India.
The term of the agreement is twelve (12) months and is renewable by mutual consent.
Relationship and Transaction Nature
Paras Defence does not hold any shareholding in Tandem Defense LLC or Autonomous Power Corporation.
The parties are not related to the promoter/promoter group/group companies of Paras in any manner.
The transaction is not classified as a related party transaction and is confirmed to be conducted at arm's length.
