Patel Integrated Logistics Limited announced the outcome of its Board Meeting held on June 23, 2026, pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015.

The Board approved a proposal for buyback of up to 60,00,000 (Sixty Lakh) fully paid-up equity shares of face value ₹10 each through the tender offer route using the stock exchange mechanism prescribed under SEBI (Buy-Back of Securities) Regulations, 2018.

  • Buyback Price: ₹18 per equity share
  • Maximum Buyback Size: ₹10,80,00,000 (Rupees Ten Crore Eighty Lakh only), excluding expenses
  • Percentage of Capital: Represents 8.62% of the total paid-up equity capital
  • Regulatory Basis: 8.434% and 8.435% of the aggregate of fully paid-up equity share capital and free reserves as per latest audited standalone and consolidated financial statements as at March 31, 2026, respectively

Additional Provisions:

  • The Board may increase the buyback price and decrease the number of equity shares proposed to be bought back until one working day prior to the record date, provided there is no change in the total buyback size
  • A Buyback Committee has been formed with delegated powers to handle all matters related to the buyback
  • Saffron Capital Advisors Private Limited has been appointed as the Manager to the Buyback

Record Date:

Tuesday, June 30, 2026 has been fixed as the record date for determining eligibility of shareholders to participate in the buyback, pursuant to Regulation 42 of Listing Regulations and Regulation 9(i) of Buyback Regulations.
