The disclosure concerns Design COE Canada Inc., a new entity incorporated in Ontario, Canada on September 21, 2026. This entity has been established as a wholly owned subsidiary of Design COE Limited, which is a step-down subsidiary of PDS Limited based in Hong Kong. Accordingly, Design COE Canada Inc. becomes a step-down subsidiary of PDS Limited.
The new subsidiary operates in the fashion and apparel industry and is described as a "design-led sourcing organization dedicated to supplying the Canadian market." Its product range includes woven, knits, sweater, denim, activewear, and career apparels.
No governmental or regulatory approvals were required for this incorporation. The acquisition was made through cash consideration of approximately INR 95,765 (equivalent to $1,000). PDS Limited holds an 85% indirect shareholding in the newly incorporated entity through its subsidiary structure.
