Prime Focus Internal Group Restructuring via Subsidiary Transfers

Prime Focus Limited disclosed two-step internal restructuring transferring PFT US and Brahma India stakes among step-down subsidiaries.
PFT US (100% stake) will be transferred from Brahma India to DNEG S.a.r.l. for ~USD 21 million; Brahma India (100%) to transfer to Brahma AI Holdings for ~USD 90.09 million.
Both entities remain step-down subsidiaries of PFL post-restructuring; transactions are related-party, arm's-length, and Audit Committee-approved.
