Purity Flexpack Limited has made a regulatory disclosure pursuant to Regulation 30 (read with Part A of Schedule III) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended. The disclosure references SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024.
Members of the Company approved an alteration in the object clause of the Memorandum of Association (MOA) at a meeting held on September 5, 2026.
The specific amendments involve inserting three new sub-clauses (6D to 6F) after sub-clause 6C of clause III (A) of the MOA:
- 6(D): To carry on business of manufacturers or dealers in soap, cosmetics, perfumes and requisites, pulp and paper of all kinds, articles made from paper or pulp, materials used in paper manufacture or treatment including cardboard, mill boards, wall and ceiling papers, packing cartons, newsprints, and photographic raw films.
- 6(E): To carry on business of manufacturers and dealers in all kinds of laminates (glassine, paper, board, cellophane, bi-axial oriented polypropylene, polyester, foil, craft, flexible films), printed or unprinted cartons, leaflets, folders, stickers, pouches of various types, and manufacturers, distributors, sellers, buyers, exporters, importers of containers, bottlers, tubes, Plastic Barrier Lamitubes, Aluminium Barrier Lamitubes, drums, and other packaging articles made from all types of materials.
- 6(F): To carry on business of manufacturers and dealers in all types of rubber, celluloid, bakelite, plastic and all other chemical, rubber and plastic goods, particularly industrial rolls, rollers, sheets, beltings, consumer goods such as tyres, tubes, allied products, chappals, shoes, and medical and surgical goods.
The alterations will be registered by the Registrar of Companies, Gujarat, Ahmedabad (ROC) as per the provisions of the Companies Act, 2013, with such modifications as may be advised by the ROC.
