The Board took the following decisions:
- Appointment of Internal Auditors: M/s. M Sahu & Co., Chartered Accountants (Firm Registration No. 130001W) was appointed as Internal Auditors for the Financial Year 2026-27. The firm is a Category II firm as per RBI Panel, empaneled with C&AG WR 3453, and is a peer-reviewed firm. It is led by 6 partners with a team of over 30 members and provides services including statutory audits, internal audits, GST consultancy, and taxation matters.
- Appointment of Cost Auditors: M/s. Chetan Gandhi & Associates, Cost Accountants (Firm Registration No. 101341) was appointed as Cost Auditors for the Financial Year 2026-27. The remuneration is subject to shareholder ratification. The firm is led by Mr. Chetan Gandhi, a Cost Accountant with 23 years of experience, and provides services including cost audit, GST consultancy, and management audit.
- 38th Annual General Meeting: The AGM is scheduled for Saturday, 5th September, 2026, at 11:00 a.m. IST, to be held through Video Conferencing or Other Audio Visual Means (VC/OAVM).
- Closure of Register of Members: The Register of Members and Share Transfer Books will remain closed from 30th August, 2026, to 5th September, 2026 (both days inclusive) for the AGM.
- Board's Report: The Board's Report of the Company was approved.
- Appointment of Scrutinizer: Mr. Devesh R. Desai was appointed as Scrutinizer for the E-voting facility for the 38th AGM.
- Alteration of Memorandum of Association: The Board approved the alteration of the Capital clause and Object clause of the Memorandum of Association, subject to shareholder approval.
- Adoption of New MOA and AOA: The Board approved the adoption of a new set of Memorandum of Association as per Table-A of Schedule I of the Companies Act, 2013, and a new set of Articles of Association as per Table-F of Schedule I of the Companies Act, 2013, both subject to shareholder approval.
