5. Increase in Authorized Share Capital: Special Resolution to increase authorized share capital from ₹25,00,00,000 (2,10,37,500 equity shares of ₹10 each + 39,62,500 preference shares of ₹10 each) to ₹100,00,00,000 (9,60,37,500 equity shares of ₹10 each + 39,62,500 preference shares of ₹10 each) by creating additional 7,50,00,000 equity shares of ₹10 each. Requires amendment to Clause V of Memorandum of Association.

6. Reappointment of Managing Director: Special Resolution to reappoint Mr. Himalay Panna Dassani (DIN: 00622736) as Managing Director for 3 years effective 23rd September 2026. He has over two decades of experience in infrastructure projects.

8. Formation of Subsidiaries and JVs: Special Resolution to authorize Board to incorporate, promote, acquire or invest in subsidiaries, associate companies, joint ventures, LLPs, SPVs in India or abroad for business expansion.

9. Creation of Security: Special Resolution under Section 180(1)(a) to authorize creation of mortgages, charges, hypothecation, pledges over company assets to secure borrowings up to specified limits.

10. Investments and Loans: Special Resolution under Section 186 to authorize making loans, guarantees, securities and investments up to aggregate outstanding amount of ₹250 Crores at any time.

11. Borrowings Authorization: Special Resolution under Section 180(1)(c) to authorize borrowings such that aggregate amount outstanding shall not exceed ₹5,000 Crores over and above aggregate of paid-up share capital, free reserves, securities premium and other reserves.

12. Change of Company Name: Special Resolution to change name from 'Quantum Digital Vision (India) Limited' to 'Quantum Greentech Limited' subject to regulatory approvals. Requires amendment to Clause I of Memorandum of Association.
