1. Adoption of Financial Statements: To receive, consider, and adopt:

Remuneration to Non-Executive Independent Directors: An Ordinary Resolution to approve payment of remuneration/commission to Non-Executive Independent Directors for FY 2025-26, within limits prescribed under Section 197 read with Schedule V of the Companies Act, 2013 and Regulation 17 of SEBI LODR. The commission amounts are:
- Mr. Amitabha Mukhopdahyay: ₹5,00,000
- Mr. Richard Stiennon: ₹5,00,000
- Mr. Kamal Kumar Agarwal: ₹5,00,000
- Ms. Amita Mirajkar: ₹3,00,000 (pro-rated as appointed on August 07, 2025)
4. Re-appointment of Mr. Richard Stiennon: A Special Resolution to re-appoint Mr. Richard Stiennon (DIN: 09324046) as Non-Executive Independent Director for a second term of five consecutive years from September 27, 2026 to September 26, 2031.
Voting Process and Methods
The company will conduct the meeting through VC/OAVM and has appointed Mr. Jayavant Bhave, Practising Company Secretary (Membership No. FCS: 4266; CP No: 3068), as the Scrutinizer for remote e-voting and e-voting at the AGM.
Remote e-Voting Period: Begins on September 19, 2026 at 09:00 AM (IST) and ends on September 22, 2026 at 5:00 PM (IST).
