The Board of Directors of the Company held a meeting on Friday, May 22, 2026, which commenced at 08:00 p.m. (IST) and concluded at 09:45 p.m. (IST). During this meeting, the Board considered and approved the following items:

1. Reappointment of Directors

On the recommendation of the Nomination and Remuneration Committee, and subject to the approval of the Members of the Company in the ensuing Annual General Meeting (AGM), the Board approved the reappointment of three directors:

  • Ms. Vandana Malik (DIN: 00036382): A Director of the Company who is liable to retire by rotation at the ensuing AGM. She holds a bachelor's degree in history from the University of Delhi and has over 30 years of experience in media and related sectors. She has been the Mumbai bureau chief of TV18 since 1994. She is the sister of Mr. Raghav Bahl, sister-in-law of Ms. Ritu Kapur, and aunt of Ms. Tara Bahl. She is not debarred from holding the office of Director.
  • Ms. Ritu Kapur (DIN: 00015423): A Director of the Company who is liable to retire by rotation at the ensuing AGM. She is the Co-founder, CEO, and Managing Director of The Quint. She is the spouse of Mr. Raghav Bahl, sister-in-law of Ms. Vandana Malik, and mother of Ms. Tara Bahl. She is not debarred from holding the office of Director.
  • Ms. Abha Kapoor (DIN: 01277168): Proposed for reappointment as an Independent Woman Director for a second term of 5 consecutive years, commencing from December 31, 2026, and lasting until December 30, 2031. Her first term began on December 31, 2021. She is an Independent Director on multiple boards, including Quint Digital Limited and Quintype Technologies India Ltd. She is not related to any other Director of the Company and is not debarred from holding office.

2. Appointment of Internal Auditor

On the recommendation of the Audit Committee, the Board approved the appointment of M/s Raghu Nath Rai & Co. (Firm Registration Number: 000451N) as the Internal Auditor of the Company for the Financial Year 2026-2027. This appointment is effective immediately and replaces the previous auditor, M/s Sandeep R Sharma & Co.

M/s Raghu Nath Rai & Co. is a firm of Chartered Accountants, founded in 1967 and registered with the Institute of Chartered Accountants of India. The firm is peer-reviewed and headquartered in New Delhi, with a presence in Mumbai, Bengaluru, Noida, and Bhubaneswar. It comprises 8 partners with extensive experience in audit, taxation, risk advisory, compliance, and financial consulting.
