Ordinary Business

1. To consider and adopt the Audited Financial Statements for the financial year ended 31st March 2026, together with the Reports of the Directors and the Auditors thereon.

2. To appoint a Director in place of Mr. Maulin Bhavesh Acharya (DIN: 00010405), who retires by rotation and, being eligible, offers himself for re-appointment.

Special Business

3. Approval of related party transaction with Mr. Bhupendrasinh Dalpatsinh Rana.

  • An Ordinary Resolution is proposed to approve entering into/continuing related party transactions.
  • The related party is Mr. Bhupendrasinh Dalpatsinh Rana.
  • The nature of the relationship: He is a relative of Mr. Narendrasinh Dalpatsinh Rana (Director and Promoter of the company).
  • Nature of transactions: Leasing of commercial vehicles, availing and rendering of logistics services, reimbursement of expenses.
  • The proposed transactions will be carried out from the date of the 39th AGM until the next AGM in 2027.
  • The aggregate value of all transactions shall not exceed ₹15 Crore.
  • Transactions are stated to be in the ordinary course of business and at arm's length.
  • The Board of Directors, based on the Audit Committee's recommendation, approved this transaction in their meeting held on 11th August 2026.

4. Approval of Related Party Transaction with RCC Limited.

  • An Ordinary Resolution is proposed to approve contracts/arrangements/transactions with RCC Ltd.
  • Nature of transactions: Purchase of fleet and equipment, availing and rendering of logistics and allied business services, reimbursement of expenses.
  • Proposed transaction period: From 1st April 2027 until 31st March 2028.
  • Monetary limits:
  • Purchase of Fleet: Not exceeding ₹20 Crore per annum for FY 2027-2028.
  • Availing & Rendering of Logistics Services: Not exceeding ₹60 Crore for FY 2027-2028.
  • Transactions are stated to be in the ordinary course of business and at arm's length.
  • The Board of Directors, based on the Audit Committee's recommendation, approved this transaction in their meeting held on 11th August 2026.

5. Alteration in Object clause of the Memorandum of Association (MOA) of the Company.

  • A Special Resolution is proposed to alter the Main Objects Clause 3(a) of the MOA.
  • The purpose is to expand the business by undertaking trading of raw salt and petroleum by-products.
  • Two new clauses are proposed to be inserted:
  • Clause 5: To carry on the business of buying, selling, trading, importing, exporting, distributing, and dealing in all kinds of salt and salt-based products.
  • Clause 6: To carry on the business of purchase, sell, supply, import, export, and trade in petroleum by-products, lubricants, fuels, oils, and related mineral substances.
  • The Board of Directors approved this alteration in its meeting on 11th August 2026, subject to shareholder and Registrar of Companies approval.
