The 32nd Annual General Meeting (AGM) of Raminfo Limited is scheduled to be held on Thursday, September 24, 2026 at 2:30 p.m. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) in accordance with circulars/notifications issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India.
The cut-off date for determining member eligibility to vote is Thursday, September 17, 2026. Remote e-voting facility will commence on September 21, 2026 at 9:00 A.M. (IST) and end on September 23, 2026 at 5:00 P.M. (IST).
Business to be Transacted
Ordinary Business
1. Adoption of Financial Statements
To receive, consider and adopt the audited financial statements (Standalone & Consolidated) of the Company for the financial year ended March 31, 2026, together with the Board's report and Auditor's report thereon.
2. Re-appointment of Director
To appoint Mr. Gangaram Aloria (DIN: 02913711) as director who retires by rotation and being eligible, offers himself for re-appointment.
3. Appointment of Statutory Auditor
To appoint M/s. Dhanunjaya & Haranath, Chartered Accountants (FRN: 014288S) as Statutory Auditors of the Company for one term of 5 consecutive financial years from 2026-27 to 2030-31. The auditors will hold office from the conclusion of this AGM until the conclusion of the 37th Annual General Meeting in calendar year 2031. Remuneration will be determined by the Audit Committee in consultation with the auditors and approved by the Board of Directors.
Special Business
4. Approval for Loans/Guarantees under Section 185
Special Resolution seeking shareholder approval for advancing loan(s) in one or more tranches (including loan represented by way of book debt) to, and/or giving guarantee(s), and/or providing security(ies) in connection with any loan taken/to be taken by any company(ies) which are group companies, associate companies, joint venture companies or subsidiary companies of the Company or any other person in which any of the Directors of the Company is interested. The aggregate amount shall not exceed ₹5 crore (Rupees Five Crore only) during a financial year.
5. Approval for Related Party Transactions under Section 188 and Regulation 23
Ordinary Resolution seeking shareholder consent for related party transactions to be entered into in the ordinary course of business and at arm's length price with subsidiaries, associate companies, or any Joint Ventures being related parties to the Company. Transactions include sale and purchase of goods, various services rendered/availed, claims made and reimbursement of claims received, or any other transactions involving transfer of resources, services or obligations. The aggregate value shall not exceed ₹80,00,00,000/- (Rupees Eighty Crores only) per annum with a maximum of ₹20,00,00,000/- (Rupees Twenty Crores) with each entity for the financial year 2026-27.
Director Particulars
Mr. Gangaram Aloria (DIN: 02913711), aged 69 years, is a retired Indian Administrative Service (IAS) officer with qualifications including Bachelor of Arts (Economics) from University of Rajasthan, Jaipur and LL.B. (Academic) from Gujarat University, Ahmedabad. He brings over 35 years of experience in governance, infrastructure development, and public policy, having served as Chief Secretary to the Government of Gujarat. He holds directorships in Apitco Limited, Deolax Cables Private Limited, Novimax E-Services Private Limited, and ICollab Hub Foundation. He holds no shares in the company.
Voting Arrangements
The company has appointed Central Depository Services (India) Limited (CDSL) to provide video conferencing facility for the AGM and e-voting services. Individual shareholders holding securities in demat mode can vote through their depository accounts with CDSL/NSDL, while physical shareholders and non-individual shareholders can vote through the CDSL e-voting system at www.evotingindia.com.
