1. Adoption of Financial Statements
- To consider and adopt the Audited Standalone Financial Statements for the financial year ended March 31, 2026, with Reports of the Board of Directors and Auditors.
- To consider and adopt the Audited Consolidated Financial Statements for the financial year ended March 31, 2026, with the Report of the Auditors.
2. Declaration of Final Dividend
- To declare a final dividend of ₹2 per equity share (face value of ₹5 each) for FY 2025-26.
- The Record Date for determining entitlement to this dividend is Friday, August 14, 2026.
- If approved, the dividend will be paid within 30 days from the date of the AGM.
3. Re-appointment of Director
- To re-appoint Mr. Sureshkumar Pansari (DIN: 00215712), who retires by rotation and is eligible for re-appointment.
SPECIAL BUSINESS
4. Re-appointment of Statutory Auditors
- To re-appoint M/s. Deloitte Haskins & Sells LLP, Chartered Accountants (FRN: 117366W/W-100018) as Statutory Auditors for a second term of 5 consecutive years, from the conclusion of the 37th AGM (2026) till the conclusion of the 42nd AGM (2031).
- The Board is authorized to fix their remuneration and out-of-pocket expenses.
- The Audit Committee and Board recommended this reappointment at their meeting held on June 23, 2026.
5. Revision in Remuneration of Managing Director
- To approve a revision in the terms of remuneration payable to Mr. Kapal Suresh Pansari (DIN: 00215510), Managing Director, for the financial year 2026-27, effective April 1, 2026.
- The revised terms are:
- Basic Salary: ₹5,21,000
- Special Allowance: ₹53,01,897
- Contribution to Provident Fund @12% of Basic Salary
- Gratuity and other retirement benefits as applicable.
- He remains entitled to annual increments, use of a company car, reimbursement of business expenses, and Group Medical Insurance.
- He is not entitled to sitting fees for Board or Committee meetings.
- The Nomination and Remuneration Committee and Board approved this revision at their meeting held on June 23, 2026.
6. Enhancement in Borrowing Limits (Special Resolution)
- To approve an enhancement in the borrowing limit of the Board under Section 180(1)(c) of the Companies Act, 2013.
- The new limit sought is ₹5,000 Crores (Rupees Five Thousand Crores only), enhanced from the previously approved limit of ₹3,500 Crores.
- This authorization is required for borrowings that exceed the aggregate of the company's paid-up capital, free reserves, and securities premium.
- The borrowing can be from Banks, Financial Institutions, and other entities, in Indian or foreign currency, with or without security.
- The Board is authorized to decide all terms and conditions for such borrowings.
7. Authorization for Creation of Charge on Assets (Special Resolution)
- To authorize the Board under Section 180(1)(a) to hypothecate, mortgage, pledge, and/or create a charge on all or any immovable or movable properties of the Company (present and future), including inventories and debtors, to secure borrowings.
- This charge can be created in favor of Banks/Financial Institutions to secure loans or other facilities within the overall enhanced borrowing limit of ₹5,000 Crores.

- The remote e-voting period commences on Saturday, September 5, 2026 (9:00 a.m. IST) and ends on Tuesday, September 8, 2026 (5:00 p.m. IST).
- The cut-off date for determining members eligible to vote is Wednesday, September 2, 2026.
