RateGain Travel Technologies Limited has made a regulatory disclosure regarding the grant of Stock Appreciation Rights (SARs) under its approved scheme. The Nomination and Remuneration Committee of the Company approved the grant of 66,598 SAR units on July 31, 2026, under the "RateGain - Stock Appreciation Rights Scheme – 2022" (SAR-2022).
The grant was made pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and subject to the provisions of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021.
SAR Grant Details:
The SAR units were granted across three different price tiers with specific quantities:
- 35,231 SAR units at Rs. 644.55 per SAR unit
- 3,997 SAR units at Rs. 824.55 per SAR unit
- 27,370 SAR units at Rs. 950.00 per SAR unit
Vesting and Exercise Terms:
The vesting period for all granted SAR units is four years from the date of grant (July 31, 2026). The vesting follows a graded schedule:
- 10% vest after Year 1
- 20% vest after Year 2
- 30% vest after Year 3
- 40% vest after Year 4
The exercise period for vested SAR units is within three years from the date of vesting of each tranche of SAR units.
