Proposed Resolutions and Implications

Ordinary Business

1. Adoption of Financial Statements: To receive, consider and adopt the Audited Standalone Financial Statements for the financial year ended March 31, 2026, together with reports of Board of Directors and Auditors.

2. Adoption of Consolidated Financial Statements: To receive, consider and adopt the Audited Consolidated Financial Statements for the financial year ended March 31, 2026.

3. Director Reappointment: To appoint Mr. Vijay Ramanlal Sanghavi (DIN: 00495922) who retires by rotation and offers himself for reappointment.

4. Statutory Auditor Reappointment: To re-appoint M/s. Pankaj R Shah & Associates, Chartered Accountants (Firm Registration No. 107361W) as Statutory Auditors for a second term of 5 consecutive years from conclusion of 24th AGM till conclusion of 29th AGM. Remuneration to be approved by Board on recommendation of Audit Committee.

Special Business

5. Cost Auditor Remuneration Ratification: To ratify remuneration of ₹1,05,000/- plus out-of-pocket expenses and applicable taxes payable to M/s. Ashish Bhavsar & Associates (Firm Reg. No. 000387) as Cost Auditor for FY 2026-27.

6. Borrowing Limit Increase: Special Resolution to increase borrowing limits from ₹900 Crores to ₹1500 Crores or the aggregate of paid-up capital and free reserves, whichever is higher, under Section 180(1)(c) of Companies Act, 2013.

7. Creation of Security: Special Resolution to create mortgage, charge and hypothecation on movable and/or immovable properties (present and future) to secure borrowings up to ₹1500 Crores under Section 180(1)(a) of Companies Act, 2013 and Regulation 37A of SEBI LODR.

8. Appointment of Whole-time Director: Special Resolution to appoint Mrs. Seema Sanghavi (DIN: 11046663) as Whole-time Director for 5 years from 20th August 2026 to 19th August 2031 with remuneration up to ₹1,25,000 per month plus expense reimbursements.
