Scrutinizer's Role and Findings
The Board of Directors appointed TNT & Associates, Practicing Company Secretaries, as scrutinizer for the e-voting process. The scrutinizer carried out scrutiny of electronic votes and submitted a report dated 1st June 2026. The e-voting data was unblocked in the presence of two independent witnesses: CS Samir V. Ravai and CS Vrund R. Brahmbhatt. The scrutinizer confirmed that all votes were counted fairly and transparently.
Compliance with Laws and Regulations
The company confirmed compliance with Section 108 of the Companies Act, 2013 read with the Companies (Management and Administration) Rules, 2014, as amended by Companies (Management and Administration) (Amendment) Rules, 2015 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The meeting was conducted in accordance with MCA Circular Nos. 14/2020, 17/2020, 20/2020, and subsequent circulars including General Circular No. 03/2025 dated September 22, 2025, and relevant SEBI circulars.
Additional Information
For Resolution 2 (appointment of Mrs. Seema Vijay Sanghavi), Mr. Vijay Ramanlal Sanghavi and Mrs. Seema Vijay Sanghavi were considered interested parties, and their votes were not counted for the purpose of passing this resolution. The electronic data and all relevant records relating to the remote e-voting and e-voting at the EGM are under the scrutinizer's safe custody and will be handed over to the Managing Director of the company for safe keeping as provided in the Act.
