Regal Entertainment and Consultants Limited held its 34th Annual General Meeting (AGM) on Wednesday, 23rd September 2026 at 11:00 AM through Video Conferencing/Other Audio Visual Means (VC/OAVM). The meeting commenced at 11:00 AM and concluded at 11:20 AM IST.
Shri Shreyash Vinodkumar Chaturvedi, Managing Director, chaired the meeting as the requisite quorum was present. The Chairman welcomed members, directors, and the scrutinizer and delivered a speech covering the company's financial performance review for FY 2025-26, new guidelines issued by SEBI and MCA under Companies Act 2013, opportunities and threats, and outlook for global economic India's macroeconomic indicators.
Remote e-voting facility was made available to all members from Sunday, 20 September 2026 (09:00 AM) to Tuesday, 22 September 2026 (05:00 PM). Additional e-voting facility was provided during the AGM for members who did not cast votes through remote e-voting. Ms. Palak Desai, Practising Company Secretary (COP No. 7426 and ACS 16763), Mumbai, was appointed as scrutinizer to scrutinize the e-voting process.
Voting results along with the scrutinizer's report will be announced within two working days from the conclusion of the meeting (on or before 25 September 2026) to stock exchanges and hosted on the exchange website.
Business Transacted
I. Ordinary Business:
1. To receive, consider and adopt the audited standalone financial statements of the company for the financial year ended 31st March 2026, the reports of the Board of Directors and auditors thereon (Ordinary Resolution)
2. To appoint a director in place of Mr. Shreyash Vinodkumar Chaturvedi (DIN: 06393031) who retires by rotation and being eligible, offers himself for reappointment (Ordinary Resolution)
II. Special Business:
3. To increase in authorized share capital of the company and amendment to the Memorandum of Association (Ordinary Resolution)
4. To consider and approve borrowing limits of the company up to an aggregate amount of ₹20 crore (Special Resolution)
5. To approve creation of charges in respect of borrowings of the company (Special Resolution)
Additional Proceedings
Those shareholders who had registered as speakers were allowed to put their questions to the Chairman, who replied to all questions. The Company Secretary gave a vote of thanks and stated that the e-voting facility would remain open for 15 minutes after the conclusion of the meeting to enable members to cast their votes.
