2. CATS Eco Systems Private Limited
Purpose of Agreement
The agreement has been entered into with the objective of establishing a business collaboration for identifying business opportunities and undertaking marketing, promotion, sales and project development activities in relation to the approved products of CATS Eco Systems Private Limited. The arrangement is intended to facilitate business development, expand market reach and explore additional revenue generating opportunities for the Company in the industrial technology segment.
Agreement Size and Financial Impact
The agreement does not specify any fixed contract value or upfront consideration. The commercial terms shall be mutually agreed upon on a project/order basis. Accordingly, the overall value is presently not quantifiable. Financial impact not quantified in the disclosure.
Significant Terms of Agreement
- CATS Eco Systems Private Limited has appointed Rose Merc Limited as its Lead Partner for marketing, promotion and resale of approved products
- Rose Merc shall undertake business development, lead generation and sales coordination
- CATS shall be responsible for manufacturing, product quality and technical support
- Commercial terms, including pricing and revenue sharing, shall be mutually agreed upon on a project basis
- 20% advance payment as the standard payment term
- The agreement does not provide for blanket exclusivity, but registered business opportunities may carry exclusivity for 18 or 24 months, depending on project value
- The minimum sales commitment shall be reviewed after one year from the first customer order
- The agreement is valid for five years from November 3, 2026, subject to renewal or earlier termination
- Governed by Indian law, with arbitration seated at Nashik, Maharashtra
