Dividend Declaration

  • Board recommended a final dividend of ₹1.50 per equity share for financial year 2025-26 at its meeting held on May 29, 2026
  • Dividend subject to shareholder approval at the 27th Annual General Meeting scheduled for Wednesday, August 26, 2026
  • Record date for dividend payment: Friday, August 7, 2026
  • Dividend will be paid to shareholders whose names appear in the Register of Members or as beneficial owners in depository records as of record date

TDS Procedures for Resident Shareholders

Individual Shareholders

  • Tax deduction rate: 10% for resident individuals with valid PAN
  • No TDS if aggregate dividend during Tax Year 2026-27 does not exceed ₹10,000
  • No TDS if valid electronically filed Form 121 is furnished
  • No TDS if valid exemption certificate from Income-tax Department is furnished
  • Tax deduction rate: 20% for resident individuals without PAN/invalid PAN/PAN not linked with Aadhaar

Non-Individual Shareholders

  • Insurance Companies: No TDS on submission of self-declaration, IRDA registration certificate, and PAN
  • Mutual Funds: No TDS on submission of self-declaration, SEBI registration certificate, and PAN
  • Alternative Investment Funds (Category I or II): No TDS on submission of self-declaration, SEBI registration certificate, and PAN
  • New Pension System Trust: No TDS on submission of self-declaration, registration documents, and PAN
  • Other Shareholders (HUF/LLP/AOP/Companies/Firm): 10% TDS on entire dividend amount without threshold

TDS Procedures for Non-Resident Shareholders

  • Tax deduction rate: 20% (plus applicable surcharge and cess) for non-resident shareholders including FIIs/FPIs
  • DTAA benefits available upon submission of required documents including Tax Residency Certificate for Tax Year 2026-27
  • Required documents: Electronic Form 41, self-declaration confirming treaty conditions, PAN copy, SEBI Registration Certificate (for FIIs/FPIs)
  • Special requirements for Singapore tax residents: documentary evidence demonstrating non-applicability of Article 24 of India-Singapore DTAA

Submission Requirements and Deadlines

  • Shareholders must submit applicable declarations, certificates and supporting documents on or before Monday, August 10, 2026
  • Documents received after August 10, 2026 may be considered at company's sole discretion
  • Shareholders must ensure PAN, tax residential status, email address, bank account details and KYC particulars are updated with Depository Participants before record date
  • Form 121 can be submitted electronically through CDSL platform (https://www.cdslindia.com/Form121/Form121Login.aspx) or NSDL platform (SPEED-e Mobile App or IDeAS)
  • Alternative submission methods: Online portal at https://web.in.mpms.mufg.com/formsreg/submission-of-Form-121-41.html or email to investor.helpdesk@in.mpms.mufg.com

Payment Details

  • Dividend will be paid after deduction of tax at source as applicable under Income-tax Act, 2025
  • Payment will be made through electronic mode
  • Shareholders must ensure bank account details and KYC particulars are updated in demat accounts with Depository Participants

Additional Provisions

  • Rule 203 declaration required where dividend income is assessable in hands of person other than deductee
  • Higher withholding tax rate may apply for multiple accounts/folios with different residential status linked to single PAN
  • Company not liable for claims regarding TDS deducted in accordance with Income-tax Act, 2025
  • Shareholders must indemnify company for any income-tax demands arising from misrepresentation in submitted documents
