Meeting Details

The 41st Annual General Meeting was held on Friday, September 18, 2026 at 11:30 A.M. (IST) through Video Conferencing/Other Audio Visual Means. The cut-off date for determining shareholders entitled to vote was Friday, September 11, 2026. There were 61,215 shareholders on record date.

Voting Process

The remote e-voting period commenced on Tuesday, September 15, 2026 at 9:00 A.M. (IST) and ended on Thursday, September 17, 2026 at 5:00 P.M. (IST). National Securities Depository Limited (NSDL) provided the e-voting platform. A total of 235 members cast their votes, with 231 through remote e-voting and 4 through e-voting during the AGM. All votes were valid.

3. Re-appointment of Mr. Prahalad Rai Agarwala (DIN: 00847452): Approved with 99.9100% votes in favor (5,82,03,159 shares for, 52,445 shares against)

4. Re-appointment of Mr. Niraj Kabra (DIN: 08067989): Approved with 99.9632% votes in favor (6,03,85,725 shares for, 22,257 shares against)

Special Business:

5. Re-appointment of Mr. Vikash Agarwal (DIN: 00230728) as Whole-time Director for 5 years from May 23, 2027: Approved with 99.9620% votes in favor (5,85,02,263 shares for, 22,247 shares against)

6. Re-appointment of Mr. Sunil Rewachand Chandiramani (DIN: 00524035) as Independent Director for second term of 5 years from May 23, 2027: Approved with 99.9957% votes in favor (6,04,05,494 shares for, 2,616 shares against)

Shareholder Voting Patterns

Detailed breakdown by shareholder category shows overwhelming support from Promoter & Promoter Group (99.45% participation, 100% in favor on most resolutions). Public Institutional holders participated at 96.84% rate, also showing strong support. Public Non-Institutional holders showed lower participation (0.08%) and some dissent on director appointments and remuneration resolutions.

Scrutinizer Appointment

Mr. Raj Kumar Banthia, Partner of MKB & Associates, Practicing Company Secretaries, was appointed as Scrutinizer by the Board of Directors at their meeting held on May 26, 2026.
