Should the debt‑to‑EBITDA ratio rise above 1.5x and the FFO‑to‑debt ratio fall below 60% for a sustained period, S&P indicated the outlook could be reverted to stable.

S&P projects that Weatherford will generate EBITDA of approximately $950 million and free operating cash flow of about $450 million in calendar year 2026. These forecasts assume a modest recovery in the Middle East that offsets supportive activity in the United States, Eastern Europe, Sub‑Saharan Africa, and Russia.

Year‑to‑date revenue has declined due to slower‑than‑expected activity in the Middle East, Latin America, and Norway. Following its emergence from bankruptcy, Weatherford recorded a roughly 24% contraction in EBITDA for 2025 as market conditions normalized after the post‑pandemic upswing of 2021‑2024.

Weatherford’s total revenue is about $5 billion, which is considerably smaller than its diversified peers: Baker Hughes (~$30 billion), SLB Ltd. (~$36 billion), and Halliburton (~$22 billion). No single country contributes more than 10% of revenue, except the United States, which accounted for 14% of first‑half 2026 revenue.
