Ordinary Business

2. Item 2: To consider and approve a Final Dividend of 55% (₹0.55 per Equity Share) on the Paid-up Equity Share Capital for FY 2025-26. This is in addition to an Interim Dividend of ₹0.45 per share already paid during the year.

3. Item 3: To appoint a Director in place of Mr. Ajit Thomas (DIN: 00018691), a Non-Executive Director who retires by rotation and, being eligible, offers himself for re-appointment.

Special Business

4. Item 4: To appoint Ms. Avantika Krishna (DIN: 07382967) as a Whole Time Director of the Company, liable to retire by rotation, for a term of five years from May 25, 2026, to May 24, 2031. This is proposed as an Ordinary Resolution. Her proposed annual remuneration is ₹10.5 million, plus perquisites including rent-free accommodation, medical insurance, provident fund, club fees, LTA, company car, and telephone facility.

5. Item 5: To appoint Mr. Vaidyanathan Sreenivasan (DIN: 11549452) as an Independent Director of the Company, not liable to retire by rotation, for a term of five years from May 25, 2026, to May 24, 2031. This is proposed as a Special Resolution. His remuneration will be sitting fees and commission.

6. Item 6: To appoint Mr. Mahesh Ramakant Muzumdar (DIN: 02402435) as an Independent Director of the Company, not liable to retire by rotation, for a term of five years from May 25, 2026, to May 24, 2031. This is proposed as a Special Resolution. His remuneration will be sitting fees and commission.

Voting Process and Methods

  • Remote E-voting: The facility to vote electronically is provided via NSDL. The remote e-voting period starts at 9:00 A.M. IST on Monday, August 3, 2026, and ends at 5:00 P.M. IST on Thursday, August 6, 2026.
  • E-voting during AGM: Members can also vote electronically during the AGM on August 7, 2026. The login process for the AGM is the same as for remote e-voting. Members can join the VC from 10:00 A.M. IST onwards.
  • Voting Rights: Voting rights are based on the number of shares held as of the cut-off date (July 31, 2026).
  • Key Restriction: Members who vote via remote e-voting cannot vote again on the same resolution during the AGM.

Scrutinizer's Role

  • The Company has appointed Mr. V. Suresh, Practising Company Secretary (Membership No. 2969, CP No. 6032), as the Scrutinizer. failing which Mr. Udaya Kumar K R, Partner of V Suresh Associates (Membership No. 11533, CP No. 21973) will act as the Scrutinizer.
  • The Scrutinizer's role is to scrutinize the remote e-voting process and the voting at the AGM in a fair and transparent manner.
  • The Scrutinizer will submit a report on the votes cast (for, against, invalid) to the Chairman. The results will be declared within the stipulated time and communicated to the Stock Exchanges, NSDL, and the RTA (Cameo Corporate Services Limited), and displayed on the company's website (www.saksoft.com).
