Sam Industries Limited submitted a certified true copy of the minutes recording resolutions passed by shareholders via postal ballot through remote e-voting process. The results were previously announced on 14th July 2026.
The Board of Directors at its meeting held on 11th June 2026 sought shareholder consent through special resolution via postal ballot for the re-appointment of two independent directors. The process was conducted in compliance with Sections 108 and 110 of the Companies Act, 2013, Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014, Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and multiple MCA circulars issued between 2020-2025.
Mr. Manish Maheshwari, Practicing Company Secretary (Membership No. ACS 5174, Certificate of Practice No. 3860) from Indore, was appointed as the Scrutinizer to conduct the postal ballot process. Remote e-voting facility was provided through Central Depository Services (India) Limited (CDSL).
The postal ballot notice dated 11th June 2026 was sent electronically to members whose names appeared in the Register of Members or Register of Beneficial Owners as of the cut-off date of 29th May 2026. The remote e-voting period commenced on 13th June 2026 at 09:00 AM IST and ended on 12th July 2026 at 05:00 PM IST.
The Scrutinizer submitted his report to the Chairman on 14th July 2026. Based on this report, both special resolutions were passed with requisite majority. The results were declared on 14th July 2026 and intimated to BSE Limited on the same day.

Both directors submitted declarations confirming they meet the independence criteria as prescribed under the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The re-appointments were based on the recommendation of the Nomination and Remuneration Committee and approval of the Board of Directors.
The Chairman declared that all special resolutions set out in the Postal Ballot Notice dated 11th June 2026 were duly passed on the last date of remote e-voting (12th July 2026) with requisite majority.
