Sammaan Capital Limited has disclosed that a meeting of the Board of Directors will be held on Monday, September 7, 2026. The primary agenda item is to consider and approve a proposal for seeking shareholders' approval for the renewal of annual authorization for issuance of debt instruments.
The debt instruments include secured and/or unsecured, listed and/or unlisted, non-convertible debentures/bonds and other securities. This also includes subordinated debt instruments, perpetual debt instruments, and other instruments eligible for inclusion in Tier I and/or Tier II capital of the Company under applicable directions of the Reserve Bank of India.
The issuance will be conducted in one or more tranches on a private placement basis, with approval to be sought in the ensuing Annual General Meeting.
Additionally, the Trading Window for dealing in the securities of the Company remains closed until September 9, 2026, in compliance with the SEBI (Prohibition of Insider Trading) Regulations, 2015 and the Company's Code of Conduct for Prevention of Insider Trading.
