The 16th Annual General Meeting was held on Thursday, 29th September 2026 at 01:00 P.M. The meeting was conducted entirely through Video Conferencing (VC) / Other Audio Visual Means (OAVM). The notice for this meeting was dated 27th August 2026.

The voting was conducted via a combination of:

  • Remote e-voting: The facility was provided by National Securities Depository Limited (NSDL). The voting period commenced on Saturday, 26th September 2026, at 9:00 A.M. (IST) and ended on Monday, 28th September 2026, at 5:00 P.M. (IST).
  • E-voting during the meeting: The NSDL platform was also used for electronic voting by members present through VC/OAVM who had not cast their vote during the remote e-voting period.

Physical attendance and the facility for appointment of proxies were dispensed with as per MCA and SEBI circulars.

Note: 23,00,000 shares converted from warrants were not qualified for voting as listing and trading approval was pending before BSE and NSE.

Scrutinizer's Role and Findings

Mr. Satish Kumar Jadon, Proprietor of M/s Satish Jadon & Associates, Practicing Company Secretaries (Firm No. S2011UPB700), was appointed as the Scrutinizer. His responsibilities included scrutinizing the remote e-voting process and electronic voting during the meeting to ensure fairness and transparency.

The votes were unblocked and counted by NSDL in the presence of two independent witnesses, Mr. Ummed Singh and Mr. Vikram Singh. The scrutinizer relied on the report generated by NSDL from https://www.evoting.nsdl.com.

The scrutinizer's consolidated report (Annexure-B) confirmed the results, stating that all resolutions were duly passed with the requisite majority. The relevant voting records are to remain in the scrutinizer's custody until the Chairman approves the meeting minutes.

  • Regulation 44(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
