Sanathan Textiles Limited conducted its 21st Annual General Meeting on Friday, September 11, 2026, at 04:00 PM IST through Video Conferencing/Other Audio Visual Means (VC/OAVM). The meeting concluded at 05:35 PM IST.

The AGM was conducted in accordance with Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, relevant provisions of the Companies Act, 2013, and circulars issued by the Ministry of Corporate Affairs (MCA) and SEBI.

Mr. Jude Dsouza, Company Secretary and Compliance Officer, welcomed members and conducted the meeting proceedings. Mr. Devendra V. Deshpande, Practicing Company Secretary, was appointed as Scrutinizer to oversee the remote e-Voting process and e-Voting at the AGM.

Representatives from Statutory Auditor, Secretarial Auditor, Cost Auditor, and Internal Auditor were present at the meeting. The company informed members that the Notice of the 21st AGM and Annual Report for the financial year ended March 31, 2026, were sent electronically to members whose email addresses were registered with Depository Participants, with physical letters sent to others.

The company reported that Statutory Auditors and Secretarial Auditor provided unqualified opinions in their respective Audit Reports for FY 2025-26. The facility for remote e-Voting and e-Voting during the AGM was provided through National Securities Depository Limited (NSDL).

Management addressed shareholders with Mr. Paresh Dattani, Chairman and Managing Director, highlighting the company's strong performance during FY 2025-26, key milestones including commissioning and ramp-up of the greenfield manufacturing facility at Wazirabad, Punjab, and commissioning of expanded technical textile capacity at Silvassa. He emphasized the company's diversified product portfolio across polyester, cotton and technical textiles, focus on sustainable manufacturing practices, and growth opportunities in man-made fibres and the evolving Indian textile industry.

Mr. Sammir Dattani, Executive Director, provided business overview and updates on capacity, value creation, sustainable green practices and future outlook. Shareholder queries were addressed by Mr. Paresh Dattani and Mr. Ajaykumar Dattani, Joint Managing Director.

1. Adoption of Audited Standalone Financial Statements for the financial year ended March 31, 2026, together with Report of Board of Directors and Auditors thereon (Ordinary Resolution)

2. Adoption of Audited Consolidated Financial Statements for the financial year ended March 31, 2026, together with Report of Auditors thereon (Ordinary Resolution)

3. Re-appointment of Mr. Sammir Dattani (DIN: 07060573) as Executive Director (Ordinary Resolution)

4. Re-appointment of M/s. Walker Chandiok & Co LLP, Chartered Accountants (Firm Registration No. 001076N/N500013) as Auditor of the Company (Ordinary Resolution)

5. Ratification of remuneration of Cost Auditor (Special Resolution)

All resolutions were passed with requisite majority based on the report submitted by the Scrutinizer.
