The company proposes re-appointment of three Independent Directors through postal ballot:

• Mr. Khurshed Meherwanji Thanawalla (DIN: 00201749) as Independent Director
• Mr. Debabrata Sarkar (DIN: 02502618) as Independent Director
• Mr. Vinay Mulkhraj Aggarwal (DIN: 00030483) as Independent Director

All re-appointments require approval by special resolution of members.
