Background and Previous Disclosure
The Company had previously intimated on August 26, 2026 under Regulation 30 of SEBI Listing Regulations that its Board of Directors, at its meeting held on August 26, 2026, approved the Amended Scheme of Arrangement involving Sapphire Foods India Limited, Devyani International Limited and their respective shareholders. The Scheme was approved pursuant to Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.
Current Development
The Company, along with Devyani International Limited, has filed a joint application with the Competition Commission of India under the Competition Act, 2002 read with Regulations made thereunder. This filing is in connection with the proposed merger of Sapphire Foods India Limited with and into Devyani International Limited, as contemplated in the Scheme.
