Nature of change: Appointment of Mr. Soumya Bagchi (DIN: 11789286) as Additional Non-Executive Director and Senior Management Personnel (SMP) of the Company.
Effective date: June 30, 2026, subject to approval of shareholders of the Company.
Appointment process: Approved by the Board of Directors via resolution passed by circulation on June 26, 2026, based on recommendation of the Nomination and Remuneration Committee.
Qualifications and experience: Mr. Bagchi holds a Bachelor of Engineering degree in Electrical Engineering from Jadavpur University, Kolkata and has undertaken various leadership programs at Ross Business School & INSEAD. He has over 30 years of experience in areas of P&L Ownership, Product & Solution development, Business development, Projects & Contract Management, and Manufacturing operations. Prior to this appointment, he was Business Unit Head of MV Equipment - Electrical Systems Equipment (ESE) and previously headed Project & Contract Management for LV & MV equipment business of ESE for India & MEA.
Eligibility confirmation: Mr. Soumya Bagchi is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.
Relationships: Mr. Bagchi is not related to any Director and Key Managerial Personnel of the Company.
