To reappoint Shri Ashok Sharma (DIN: 00038360) who retires by rotation. He is a Whole-Time Director with qualifications of CA, CS, LLB and IBBI IRP, originally appointed on July 11, 2001, holding no equity shares in the company.

3. Adoption of New Memorandum of Association

Special Resolution to adopt new MOA with additional main objects:

  • Object 3: Commodity trading business including buying, selling, importing, exporting agricultural commodities, metals, precious metals, bullion, energy products through physical delivery or commodity exchanges
  • Object 4: Real estate business including land acquisition, development, construction, infrastructure development, acting as builders, developers, colonizers for residential, commercial, industrial projects

Special Resolution authorizing Board to evaluate and implement strategic alternatives for steel plant undertaking:

  • Induction of strategic investors/technology partners for capital infusion and modernization
  • Lease, license, or commercial utilization at existing location
  • Relocation of plant and machinery to another location
  • Sale, transfer, or disposal of plant, machinery and operational assets
  • Joint ventures, strategic partnerships, or technology arrangements

  • Valuation report dated April 30, 2026 covers only movable assets (plant, machinery, equipment)
