Shah Construction Company Limited has issued a supplementary notice to its 78th Annual General Meeting (AGM) originally scheduled for Friday, 30th October 2026 at 03:30 PM IST through Video Conferencing/Other Audio Visual Means.

The supplementary notice specifically addresses the withdrawal of Item No. 3 under Ordinary Business, which pertained to the re-appointment of M/s. Mittal & Associates, Chartered Accountants (Firm Registration No. 106456W) as the Statutory Auditors of the Company for a second term of five consecutive years.

The withdrawal follows a communication received from M/s. Mittal & Associates dated 21st October 2026, in which the firm expressed its unwillingness to accept the proposed reappointment as Statutory Auditors. The firm specifically referenced Section 139(9) of the Companies Act, 2013 in their communication and clarified that this constitutes notice of unwillingness rather than a resignation from their current term.

Consequently, Item No. 3 will not be placed before the members for consideration or voting at the AGM. The item will also not be available for voting through the remote e-voting facility or e-voting during the AGM.

All other items of business contained in the original AGM notice dated 12th August 2026 remain unchanged and will be transacted as scheduled. The company has requested members to disregard the withdrawn item and has expressed regret for any inconvenience caused.

The supplementary notice was signed by Apeksha Jenil Shah, Company Secretary & Compliance Officer (Membership No. A66196) on behalf of the Board of Directors.
