Shell Acquires Full Ownership of Tri Star Energy
Shell plc announced on 2 September 2026 that it will acquire the remaining equity in Tri Star Energy, a U.S. convenience‑store operator and fuel distributor, thereby taking 100 % ownership of the retailer. The financial terms of the transaction were not disclosed.
The acquisition will bring an additional 320 fuel and convenience retail sites located in Tennessee and adjacent states into Shell’s U.S. portfolio. It also secures supply agreements covering 552 dealer‑owned locations that will continue to source fuel from Shell.
Prior to the deal, Shell already operated roughly 12,000 wholesaler‑ and dealer‑owned fuel and convenience sites across 49 U.S. states and held a 33 % stake in Tri Star Energy. The remaining 67 % stake is being purchased from The Parman Corporation, Kimbro Oil Company and their respective units.
The transaction is expected to close by the end of 2026.
