Raghukul Shradha Realty LLP, a step-down subsidiary of Shradha Realty Limited through Active Infrastructures Limited (subsidiary) and Achievers Ventures Private Limited (wholly owned subsidiary of Active Infrastructures Limited), has executed an Agreement to Sell for acquisition of an immovable property.

Property Details: Nagpur Improvement Trust Leasehold Plot No. 25, Civil Station Expansion Scheme, Mashruwala Marg, Cement Road, Shivaji Nagar, Nagpur – 440010, along with the existing residential structure standing thereon.

Transaction Details:

  • Sellers/Vendors: 1. Shri Udayan Govindrao Shrouti, 2. Smt. Anita Udayan Shrouti, 3. Shri Chidanand Udayan Shrouti, 4. Kumari Abhipsa Udayan Shrouti
  • Purchaser: Raghukul Shradha Realty LLP
  • Total Consideration: ₹17,85,60,000/- (Rupees Seventeen Crore Eighty Five Lakh Sixty Thousand Only), exclusive of applicable stamp duty, registration charges and other incidental expenses
  • Purpose: Acquisition for real estate development activities
  • Expected Completion: Upon fulfilment of terms and conditions stipulated under the Agreement to Sell and execution of necessary transfer/conveyance documents

Corporate Structure: The transaction involves a step-down subsidiary through the following chain: Shradha Realty Limited → Active Infrastructures Limited (subsidiary) → Achievers Ventures Private Limited (wholly owned subsidiary) → Raghukul Shradha Realty LLP

Regulatory Compliance:

  • The transaction does not fall within the ambit of Related Party Transaction under applicable provisions of the Companies Act, 2013 and SEBI (LODR) Regulations, 2015
  • No nominee arrangement or potential conflict of interest arises from the Agreement to Sell
  • The transaction is undertaken at arm's length
  • Any amendment or termination of the Agreement shall be disclosed to Stock Exchanges in accordance with SEBI (LODR) Regulations, 2015

Strategic Rationale: The acquisition is in line with the business objectives of the LLP for undertaking real estate development activities.
