Pursuant to a resolution passed by shareholders through postal ballot on September 9, 2026, Shree Ram Proteins Limited has executed and registered a sale deed dated September 21, 2026, for the sale of an immovable property.
The property details are as follows:
- Survey No. 54/P3, Behind Pan Agri Export Office, Rajkot Bhunava, Taluka Gondal, District Rajkot
- Rajkot–Gondal National Highway, At. – 360311, Gujarat, India
The total consideration received for the sale is Rs. 16,76,30,000/- (Sixteen Crore Seventy-Six Lakh Thirty Thousand).
The buyer is KSP Auto and Forge Private Limited, with registered office at Plot No. 5 & 6, Survey No. 48 National Highway 8-B, Hadamtala, Gujarat, India, 360030. The buyer does not belong to the promoter, promoter group, or group companies of Shree Ram Proteins Limited.
The transaction does not fall within the purview of related party transactions and has been undertaken outside a Scheme of Arrangement. The sale constitutes a disposal covered by Regulation 37A of the Listing Regulations, read with Section 180(1)(a) of the Companies Act, 2013.
The Board of Directors had initially approved the proposal for sale of this property at its meeting held on August 10, 2026.
