Proposed Resolutions and Implications

Ordinary Business

1. Adoption of Financial Statements: To receive, consider, and adopt the audited standalone financial statements for the financial year ended March 31, 2026, together with reports of the Board of Directors and Auditors.

2. Re-appointment of Director: To appoint Mr. Nitish Agrawal (DIN: 10381069) as a director liable to retire by rotation. Mr. Agrawal, age 24, is a Commerce graduate with expertise in financial accounting and holds 48,196 equity shares in the company.

3. Re-appointment of Statutory Auditors: To re-appoint M/s APAS & Co. LLP, Chartered Accountants (Firm Registration No. 000340C/C400308), as statutory auditors for a second term of five consecutive years until the conclusion of the 2031 AGM. Remuneration will be determined by the Board based on Audit Committee recommendation.

Special Business

4. Ratification of Loan to Associate Company: Special resolution to ratify loan of ₹10,15,00,000 (₹10.15 crore) granted to Nava Raipur Business Hub Private Limited (subsidiary at time of granting, now associate company) for business operations, capex, working capital, and expansion. The loan carries 12% interest per annum with maturity date September 30, 2031, and is unsecured. Mr. Atul Garg (Managing Director) is interested as he is also a director in the borrowing company.

5. Approval for Section 185 Transactions: Special resolution to authorize Board to advance loans, give guarantees, or provide security up to ₹25,00,00,000 (₹25 crore) to entities where directors are interested, provided funds are used for principal business activities.

6. Approval for Section 186 Transactions: Special resolution to authorize Board to make loans, give guarantees, provide security, or acquire securities of other bodies corporate up to ₹25 crore or 60% of paid-up share capital plus free reserves and securities premium account (whichever is higher).
