Meeting Details

The 47th Annual General Meeting was held on Friday, July 10, 2026 at 2:00 p.m. (IST) through Video Conferencing/Other Audio Visual Means without physical presence of members at a common venue. The meeting was conducted in accordance with relevant MCA Circulars and was deemed to be conducted at the Registered Office of the Company at P. J. Towers, Dalal Street, Fort, Mumbai - 400 001.

Proposed Resolutions and Implications

The AGM transacted both ordinary and special business through 10 resolutions:

Ordinary Business:

  • Resolution 1: Adoption of Audited Standalone Financial Statements for FY ended March 31, 2026 with Reports of Board of Directors and Auditors
  • Resolution 2: Adoption of Audited Consolidated Financial Statements for FY ended March 31, 2026 with Report of Auditors
  • Resolution 3: Declaration of final dividend of ₹6 per equity share of face value ₹2 each fully paid-up and confirmation of interim dividend of ₹4.80 per equity share
  • Resolution 4: Re-appointment of Mr. D. V. Ravi as Director retiring by rotation

Voting Process and Methods

The Company provided facility for electronic voting through remote e-voting services and e-voting at the AGM facilitated by Central Depository Services (India) Limited (CDSL). The remote e-voting period commenced on Tuesday, July 7, 2026 at 9:00 a.m. IST and ended on Thursday, July 9, 2026 at 5:00 p.m. IST. Members present at the AGM who had not cast votes through remote e-voting were given 15 minutes to cast their e-votes during the meeting.

Attendance and Participation

As of the cut-off date (July 3, 2026), the Company had 365,191 members. Total 152 members including authorized representatives attended the meeting through VC/OAVM. Eight members registered as speakers, with seven actually asking questions or expressing views during the meeting.

Leadership and Attendance

Mr. Jugal Kishore Mohapatra, Chairman of the Board and Stakeholders' Relationship Committee, chaired the meeting. All directors attended through VC from their respective locations: Mr. Umesh Revankar (Executive Vice Chairman), Mr. Parag Sharma (Managing Director & CEO), Mr. S. Sunder (Joint Managing Director & CFO), Mr. Pradeep Kumar Panja (Independent Director and Audit Committee Chairman), Mr. S. Ravindran (Independent Director and Nomination and Remuneration Committee Chairman), Mr. Gokul Dixit (Independent Director), Mrs. M. V. Bhanumathi (Independent Director), Mr. D. V. Ravi (Non-Executive Non-Independent Director), Mr. Ignatius Michael Viljoen (Non-Executive Non-Independent Director), Mr. Morihiko Fuji (Non-Executive Non-Independent Director), and Mr. Shinichi Fujinami (Non-Executive Non-Independent Director).

The Company Secretary & Chief Compliance Officer, partners of joint statutory auditors (M/s. G. D. Apte & Co. and M/s M M NISSIM & CO LLP), and Mr. V Suresh of M/s. V Suresh Associates (Secretarial Auditor) also attended.

Scrutinizer Appointment

SPNP & Associates, Practicing Company Secretaries represented by Mr. P. Sriram (FCS 4862, CP No. 3310) and Ms. Nithya Pasupathy (FCS 10601, CP No. 22562) were appointed as Scrutinizers to scrutinize the remote e-voting process and e-voting at the AGM.

Results Declaration and Compliance

The Chairman authorized the Managing Director & CEO and Company Secretary & Chief Compliance Officer to receive the Scrutinizer's report on e-voting, counter-sign it, and declare consolidated results within prescribed timelines. The Scrutinizer's Report will be communicated to National Stock Exchange of India Limited and BSE Limited and placed on the Company's website (https://www.shriramfinance.in) and CDSL's website (https://www.evotingindia.com).

Additional Information

The Company provided live webcast of the proceedings, with recording made available on the company website. Members were informed that various registers and documents referred to in the Notice were available for inspection at the Registered Office and electronically. The Company Secretary confirmed there were no qualifications in the Auditors' Report on Financial Statements or Secretarial Audit Report for FY 2025-26.

The meeting commenced at 2:00 p.m. and concluded at 4:00 p.m., including time allowed for e-voting at the AGM.
