Board Meeting Outcomes

The Banking & Finance Committee of Shriram Finance Limited met on September 21, 2026, and approved a tender offer to repurchase portions of its outstanding US dollar-denominated Senior Secured Notes:

• Approval to make a tender offer to purchase for cash up to U.S.$300,000,000 of U.S.$750,000,000 6.625 per cent. Senior Secured Notes due 2027
• Approval to make a tender offer to purchase for cash up to U.S.$160,000,000 of U.S.$500,000,000 6.15 per cent. Senior Secured Notes due 2028
• These notes were issued under the Company's USD 3,500,000,000 Global Medium Term Note Programme (GMTN Programme)
• The Company will make further intimations regarding the purchase of the Notes in accordance with applicable laws
