Ordinary Business

Item No. 1: Adoption of Financial Statements

To receive, consider, and adopt the Audited Financial Statements (Standalone and Consolidated) for the financial year ended March 31, 2026, together with the Director's Report and the Auditor's Report.

Item No. 2: Confirmation & Declaration of Dividend

  • To confirm the payment of an Interim Dividend declared on July 22, 2025, at 18% i.e., ₹1.80 per equity share of ₹10 each.
  • To declare a Final Dividend for FY 2025-26 at 27% i.e., ₹2.70 per equity share of ₹10 each.
  • The final dividend, if approved, will be paid within the stipulated timeline prescribed by the Companies Act, 2013.

Item No. 3: Appointment of Director

To appoint Mr. Sheetij Agarwal (DIN: 08212992) as a Director, liable to retire by rotation. He offers himself for re-appointment. His proposed remuneration is ₹2.40 Crores per annum.

Special Business

Item No. 4: Ratification of Cost Auditor Remuneration

To pass an Ordinary Resolution to ratify the remuneration of ₹55,000 plus applicable taxes and reimbursement of actual out-of-pocket expenses payable to M/s. BSS & Associates, Cost Accountants (FRN: 001066), for the financial year 2026-27.

Item No. 5: Approval for Raising of Funds

To pass a Special Resolution authorizing the Board to offer, issue, and allot securities to raise funds aggregating up to ₹4,500 Crore.

  • Instruments: Equity Shares, preference shares (convertible/non-convertible), fully/partly convertible debentures, foreign currency convertible bonds, warrants, or any combination thereof.
  • Modes: Public issue, preferential allotment, private placement (including one or more Qualified Institutions Placements - QIP), or any other permissible mode or combination.
  • Investors: Resident or non-resident investors, foreign portfolio investors, mutual funds, qualified institutional buyers (QIBs), banks, etc., as permitted by law.
  • Purpose: The proceeds are intended for (i) organic/inorganic growth opportunities & investments, (ii) prepayment/repayment of borrowings, (iii) working capital requirements, (iv) capital expenditure, and (v) general corporate purposes.
  • Key QIP Terms (if utilized):
  • Allotment must be completed within 365 days of this resolution.
  • Pricing will be at or above the floor price determined as per SEBI ICDR Regulations, with a possible discount of up to 5%.
  • A minimum of 10% of securities must be allotted to mutual funds.
  • Allotment to a single QIB shall not exceed 50% of the issue size.
  • Securities shall not be eligible for sale for one year from the date of allotment, except on stock exchanges.
  • Equity shares issued will rank pari passu with existing shares.

Voting Information

  • The company has engaged NSDL to provide remote e-voting and e-voting during the AGM.
  • Members who cast their vote via remote e-voting can attend the AGM but cannot vote again.
  • Mr. Raj Kumar Banthia (ACS 17190) of M/s. MKB & Associates has been appointed as the Scrutinizer for the e-voting process.
  • The scrutinizer's report will be submitted within two working days of the AGM conclusion, and results will be communicated to stock exchanges and displayed on the company's website (www.shyammetalics.com).

Dividend & Tax Information

  • The record date for the final dividend is Tuesday, August 18, 2026.
  • TDS for Resident Members: 10% (if PAN is provided); 20% (if PAN is not provided/operative). No TDS if aggregate dividend for the financial year does not exceed ₹10,000 for an individual member.
  • TDS for Non-Resident Members: 20% (plus applicable surcharge and cess), unless a lower rate is applicable under a Double Taxation Avoidance Agreement (DTAA). To claim DTAA benefits, members must submit required documents (Form 41, TRC, PAN, self-declaration) to the RTA by August 7, 2026.
  • Dividends will be paid only via electronic mode as mandated by SEBI.
