ORDINARY BUSINESS
Item No. 1: Adoption of Financial Statements
To receive, consider, and adopt:
- a. The Audited Standalone Financial Statements for the financial year ended March 31, 2026, along with the Reports of the Board of Directors and Auditors.
- b. The Audited Consolidated Financial Statements for the financial year ended March 31, 2026, together with the Report of the Auditors.
Item No. 2: Re-Appointment of Director
To appoint a director in place of Mr. Prerak Prakashbhai Parikh (DIN: 09575923), who retires by rotation and, being eligible, offers himself for reappointment.
Item No. 3: Declaration of Final Dividend
To declare a final dividend on equity shares at the rate of 50%, i.e., ₹0.50 (Fifty Paisa Only) per share on equity shares of face value ₹1 each, for the financial year ended March 31, 2026.
Item No. 4: Re-appointment of Statutory Auditors
To pass an ordinary resolution for the re-appointment of Mistry & Shah LLP, Chartered Accountants (ICAI FRN: W100683), as the Statutory Auditors of the Company. The proposed term is for the second consecutive term of 5 years, from the conclusion of the 16th AGM until the conclusion of the 21st AGM in the year 2031. Their remuneration is to be decided by the Board of Directors in consultation with the auditors.
SPECIAL BUSINESS
Item No. 5: Revision of Borrowing Limit under Section 180(1)(c)
To pass a special resolution seeking member consent to authorize the Board of Directors to borrow monies, notwithstanding that the total borrowed amount may exceed the aggregate of the company's paid-up capital, free reserves, and securities premium. The proposed new limit is ₹300 Crores (Rupees Three Hundred Crores only) at any point in time, excluding temporary loans from bankers in the ordinary course of business. This supersedes all earlier resolutions on the matter.
Item No. 6: Revision of Limit under Section 186
To pass a special resolution seeking member consent to authorize the Board of Directors to give loans, provide guarantees, offer security, and make investments in other body corporates, notwithstanding that the aggregate may exceed the limits prescribed under Section 186(2) of the Companies Act, 2013. The proposed new aggregate limit is ₹100 Crores (Rupees One Hundred Crores only) at any point in time. This supersedes all earlier resolutions on the matter.
Explanatory Statement Highlights (Special Business)
- The increase in the borrowing limit (Item 5) is for meeting working capital requirements, capital expenditure, business expansion, and other general corporate purposes.
- The increase in the limit for loans/guarantees/investments (Item 6) is for strategic, financial, or operational requirements, including supporting subsidiaries or associates.
- The Board states that none of the Directors or Key Managerial Personnel are concerned or interested in these resolutions, except to the extent of their shareholding.
- The Board recommends both special resolutions as being in the best interests of the company and its stakeholders.
Voting Information
- The company has appointed National Securities Depository Limited (NSDL) as the agency for providing the remote e-voting facility.
- Members on the register as of the record date (16th September 2026) are entitled to vote.

- Members can also vote electronically on the day of the AGM if they have not already voted remotely.
