Signpost India Limited has submitted a regulatory disclosure pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Master Circular reference no. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026.

The Board of Directors, via circular resolution dated July 10, 2026, and based on the recommendation of the Nomination and Remuneration Committee, has approved the following matters subject to shareholder approval at the ensuing Extraordinary General Meeting (EGM) scheduled for August 5, 2026:

  • Re-appointment of Mr. Girish Kulkarni (DIN: 01683332) as an Independent Director for a second term of five consecutive years, effective from August 6, 2026
  • Re-appointment of Mr. Prashant Sanghavi (DIN: 10729467) as an Independent Director for a second term of five consecutive years, effective from August 6, 2026

Both directors have confirmed that they meet the criteria of independence under Section 149 of the Companies Act, 2013, and Regulation 16 of the SEBI Listing Regulations.

Director Backgrounds

Mr. Girish Kulkarni has over four decades of experience in building and scaling businesses in the Asian insurance and financial sectors. His career highlights include:

  • Founding member of the global strategy board of Dai Ichi Life
  • Chairman - Asia Pacific (Non-Executive) at Dai Ichi Life
  • MD & CEO of Star Union Dai Ichi Life Insurance for almost a decade, growing it to a profitable business with ₹500 Crores of Capital
  • Instrumental in establishing SBI Life's distribution architecture
  • Experience in building General Motors Finance (GMAC) and Generali Group

Mr. Prashant Sanghavi has over 25 years of experience in business development, credit appraisal, structured finance, and IPO listing. His expertise includes:

  • Arranging funds through private equity, banks, and financial institutions
  • 11 years at HDFC Bank leading the business banking group (working capital) in Mumbai
  • Roles at Centurion Bank of Punjab and ICICI Bank handling infrastructure and finance business operations
  • Post Graduate Program in Management Studies from Institute of Management Studies & Research, Mumbai
