The Company had allotted these warrants on a preferential basis on January 15, 2025, entitling holders to apply for an equivalent number of equity shares within 18 months from allotment (up to July 15, 2026).

In accordance with Regulation 162 of the SEBI ICDR Regulations, 25% of the issue price (₹222 per warrant) was received upfront as initial subscription amount, with the balance 75% payable at the time of exercise within the 18-month period.

Since the Company did not receive the balance 75% consideration from warrant holders by the July 15, 2026 deadline, the outstanding warrants have lapsed upon expiry of the exercise period.

Consequently, with effect from July 16, 2026, the upfront subscription amount of ₹3,05,47,200 (25% of issue price) stands forfeited in line with Regulation 169(3) of Chapter V of the SEBI ICDR Regulations.

The warrant holders shall cease to have any right or entitlement to seek conversion of the warrants into equity shares.

There will be no change in the paid-up share capital of the Company. The forfeited amount shall be retained by the Company and accounted for in accordance with applicable accounting standards.

This matter will be placed before the forthcoming meeting of the Board of Directors for necessary resolution.
