  • Mr. Lalit Naresh Nagdev (DIN: 11709670) as Additional Executive Director (Professional Category)
  • Mr. Amit Suresh Ninawe (DIN: 11707767) as Additional Executive Director (Professional Category)

Both appointments are effective from June 06, 2026, subject to approval by the shareholders of the Company.

Professional Background and Experience

Mr. Lalit Naresh Nagdev: Brings over 15 years of experience in financial management, risk assessment, and operational management. Has significant experience in credit appraisal, risk assessment, underwriting, portfolio monitoring, and risk mitigation strategies. Previously worked with Axis Bank Ltd. in the SME Credit Department, gaining exposure to credit appraisal, financial analysis, risk assessment, business evaluation, and loan structuring for corporate and business clients. Also has experience in statutory audits, taxation, GST compliance, financial reporting, and advisory services through reputed chartered accountancy firms. Holds certifications in Concurrent Audit of Banks and IND AS from ICAI.

Mr. Amit Suresh Ninawe: Possesses comprehensive knowledge of GST, Income Tax, TDS, internal audit, CMA report preparation, project finance, banking compliance, and financial forecasting. Has ability to work closely with auditors, financial institutions, regulatory authorities, and senior management. Expertise in optimizing funding structures, improving financial controls, and driving process efficiencies.

Relationships and Compliance Status

Both appointees are not related to any of the existing Directors, Key Managerial Personnel, or Promoters and Promoter Group of the company.

Neither director is debarred from holding the office of Director by any SEBI order or any other such authority, as confirmed under BSE Circular no. LIST/COMP/14/2018-19 dated June 20, 2018.
