The 39th Annual General Meeting ('AGM') of Simran Farms Limited is scheduled to be held on Thursday, 24th September 2026 at 11:30 AM (IST) through Video Conferencing (VC)/Other Audio-Visual Means (OAVM). The registered office of the company at 1-B, Vikas Rekha Complex, Tower Square, Khatiwala Tank, Indore (M.P.)-452001 shall be deemed as the venue for the Meeting.

Item 2: Re-appointment of Director Retiring by Rotation
To appoint Mr. Gurmeet Singh Bhatia (DIN: 00401697) who retires by rotation in terms of Section 152(6) of the Companies Act, 2013 and being eligible offers himself for reappointment.

Item 3: Payment of Remuneration to Mr. Kawaljeet Singh Bhatia
Special Resolution to approve payment of remuneration of INR 4,50,000/- per month (Rupees Four Lakh Fifty Thousand only) to Mr. Kawaljeet Singh Bhatia (DIN: 00401827) as Non-Executive Non-Independent Promoter Director for the financial year 2026-27 and up to the date of 40th Annual General Meeting. This remuneration exceeds 50% of the aggregate remuneration payable to all Non-Executive Directors during said financial year.
Background: Mr. Kawaljeet Singh Bhatia resigned from Whole-time Director position effective 13th August 2025 to pursue executive position in another company, but continues as Non-Executive Non-Independent Promoter Director.
Qualifications: Bachelor of Science and Master's in International Business. Has 28 years experience in poultry business operations including procurement, hatchery management, and strategic direction.
Financial Impact: Fixed monthly remuneration of ₹4,50,000 with perquisites restricted to 25% of annual salary.
Item 4: Re-appointment of Mr. Gurmeet Singh Bhatia as Whole-Time Director
Special Resolution to re-appoint Mr. Gurmeet Singh Bhatia (DIN: 00401697) as Whole-Time Director for further period of three years with effect from 13th August 2026 to 12th August 2029.
Remuneration Terms:
- Salary: INR 4,50,000/- per month (Rupees Four Lakhs Fifty Thousand only)

Item 5: Re-appointment of Mr. Gaurav Chhabra as Independent Director
Special Resolution to re-appoint Mr. Gaurav Chhabra (DIN: 09603279) as Non-Executive Independent Director for a second term of five years with effect from 14th May 2027 to 13th May 2032.
Background: Originally appointed at 35th AGM held on 15th September 2022 for term ending 13th May 2027. Qualified Advocate with M.P. State Bar Council practicing since 1999.
Item 6: Approval of Material Related Party Transactions with Simran Agritech Private Limited
Ordinary Resolution to approve material related party transactions with Simran Agritech Private Limited (SAPL) for aggregate value of up to INR 400 Crores (Rupees Four Hundred Crores) for financial year 2026-27 and up to date of 40th Annual General Meeting.
Relationship: SAPL is related party due to common directorship of Mr. Gurmeet Singh Bhatia (Whole-Time Director of Company who is also director of SAPL) and common shareholding.
Transaction Details: Purchase and sale of goods including poultry feed ingredients and finished poultry feed. SAPL operates automatic manufacturing plant for Soya DOC and poultry feed.
