Meeting Details
The 38th Annual General Meeting of SJVN Limited was held on Monday, August 31, 2026, at 15:00 HRS and concluded at 16:35 HRS. The meeting was conducted through Video Conferencing (VC)/Other Audio-Visual Means (OAVM) in accordance with the Companies Act, 2013 and relevant circulars from the Ministry of Corporate Affairs (MCA) and SEBI.
Attendance
A total of 72 shareholders attended and participated in the meeting. This included representatives of:
- President of India – Shri Santosh Kumar, Director (Hydro), Ministry of Power, Government of India
- Governor of Himachal Pradesh – Shri Raman Gharsanghi, Joint Secretary (Power), Government of Himachal Pradesh
Directors present included the Chairpersons of the Audit Committee, Nomination & Remuneration Committee, Stakeholders' Relationship Committee, Risk Management Committee, and CSR, SD and R&D Committee. The Statutory Auditors and an authorized representative of the Secretarial Auditor were also present via VC/OAVM.
Voting Process
The company provided an electronic voting facility for the businesses set out in the AGM notice through the remote e-voting facility of Central Depository Services (India) Limited (CDSL) and e-voting during the AGM. Shri Santosh Kumar Pradhan, Practicing Company Secretary, was appointed as the Scrutinizer to scrutinize the e-voting process. The e-voting facility remained open for 15 minutes after the conclusion of the AGM for eligible members who had not voted earlier.
The results of the electronic voting (remote e-voting and e-voting during AGM) were to be declared within the prescribed period after the AGM conclusion. These results, along with the consolidated Scrutinizer's Report, were to be uploaded on the company's website, CDSL's website, and intimated to the stock exchanges.

The following businesses, as set out in the Notice of AGM dated July 31, 2026, were transacted through the electronic voting process:
Ordinary Businesses:
1. To receive, consider and adopt the Audited Standalone Financial Statements and Audited Consolidated Financial Statements of the Company for the financial year ended March 31, 2026, Directors' Report, Independent Auditors' Report and the comments thereon of the Comptroller & Auditor General of India.
2. To confirm the payment of Interim Dividend of ₹1.15 per share already declared in February 2026 and to declare the final dividend of ₹0.35 per share on equity shares for the financial year 2025-26.
4. To fix the remuneration of the Statutory Auditors for the financial year 2026-27.
Special Businesses:
5. Appointment of Shri Parthajit De as a Whole-Time Director (Finance).
6. Appointment of Shri Rajesh Kumar Chandel as a Whole-Time Director (Projects).
7. Appointment of Shri Diwakar Nath Misra as a Part-Time Official Director (Government of India Nominee).
8. Ratification of remuneration of Cost Auditor for Financial Year 2026-27.
9. Appointment of Smt. Arti Kujur as Part-time Non-Official (Independent) Director.
