Voting Details

Remote e-voting period commences from Tuesday, July 14, 2026 at 9:00 A.M. (IST) and ends on Friday, July 17, 2026 at 5:00 P.M. (IST). Cut-off date for determining voting rights is Saturday, July 11, 2026. Members holding shares as of this date may cast votes electronically.

1. Adoption of Financial Statements

5. Re-appointment of Managing Director

  • Re-appointment of Mr. Jagadish Nangineni (DIN: 01871780) as Managing Director
  • Term: Five years from April 01, 2027 to March 31, 2032
  • Remuneration terms:
  • Basic salary: ₹8,40,000 per month, revisable up to ₹14,00,000 per month
  • House Rent allowance: Equal to basic salary (₹8,40,000 per month)
  • Commission: Not exceeding 2% of Consolidated Net Profit
  • Perquisites: Company maintained car, telephone, PF contribution, gratuity, leave encashment, insurance, medical reimbursement

6. Re-appointment of Independent Director

  • Re-appointment of Mr. Raman Mangalorkar (DIN: 01866884) as Non-Executive Independent Director
  • Second term of five consecutive years from April 01, 2027 to March 31, 2032
  • Entitled to commission and sitting fees for attending Board and Committee Meetings
  • Current shareholding: 1,141 fully paid equity shares as of March 31, 2026

7. Issue of Non-Convertible Debentures

  • Approval to raise funds through issuance of Unsecured Non-Convertible Debentures/Bonds/Other Instruments
  • Amount not exceeding ₹1,000 Crore (Rupees One Thousand Crore)
  • Through private placement basis in one or more tranches
  • Time period: Within 1 year from date of passing of Special Resolution
  • Maximum investors: Not exceeding 200 in any financial year

  • Current funding through project-specific or general-purpose borrowings from banks and financial institutions
