Board Meeting Outcomes

• The Nomination and Remuneration Committee (NRC/Compensation Committee) of the Board of Directors approved the allotment of equity shares under ESOP Plan 2023 on Tuesday, 27th October 2026.
• Approved allotment of 10,07,121 (Ten Lacs Seven Thousand One Hundred and Twenty-one) equity shares with face value of ₹10 each fully paid-up to eligible employees who exercised vested options under Sona Employee Stock Option Plan - 2023 (ESOP Plan 2023).

Capital Structure Update

• Pre-allotment issued and paid-up equity share capital: ₹6,24,17,02,740 (62,41,70,274 equity shares of ₹10 each)
• Post-allotment issued and paid-up equity share capital: ₹6,25,17,73,950 (62,51,77,395 equity shares of ₹10 each)
• Increase in share capital: ₹1,00,71,210 (representing 1,007,121 new shares)
• The new equity shares rank pari passu with existing equity shares in every aspect, including dividend entitlement.
