Sonata Software Limited has intimated the National Stock Exchange of India Limited and BSE Limited regarding the effective date of the Scheme of Arrangement and Amalgamation between Encore I.T. Services Solutions Private Limited (Transferor Company) and Sonata Software Limited (Transferee Company).
The Company filed Form No. INC-28 with the Registrar of Companies (RoC), which was approved on August 25, 2026. Consequently, the Scheme has become effective from August 14, 2026, which is the date of filing with RoC. The Appointed Date of the Scheme is April 1, 2024.
As the merger involves a wholly-owned subsidiary with the parent company, no fresh equity shares were issued under the Scheme. Accordingly, there is no impact on the Issued, Subscribed and Paid-up Capital of Sonata Software Limited following the effectiveness of the Scheme.
