Ordinary Business
All ordinary business resolutions were passed with requisite majority:
- Adoption of Audited Standalone Financial Statements for the financial year.
- Adoption of Audited Consolidated Financial Statements for the financial year.
- Re-appointment of Mr. Sunish Sharma (DIN: 00274432) as a Non-Executive Nominee Director. Mr. Sharma, who retires by rotation, offered himself for re-appointment. He was first appointed on March 31, 2017.
- Re-appointment of Ms. Saakshi Gera (DIN: 08737182) as a Non-Executive Nominee Director. Ms. Gera, who retires by rotation, offered herself for re-appointment. She was first appointed on May 22, 2024.

Mr. Sunish Sharma: A seasoned private equity professional with over 29 years of experience. He is the Founder and Managing Partner of Kedaara Capital, which advises and manages over $6 billion in AUM. His investment philosophy spans financial services, consumer, business services, technology, healthcare, and industrials. Prior to founding Kedaara in 2012, he held senior leadership positions at General Atlantic and McKinsey & Company. He currently serves as a Director on the Boards of Care Health Insurance Limited, Vedant Fashion Limited, and Avanse Financial Services Ltd. He is not related to any other Director of the Company.
Ms. Saakshi Gera: Has over 14 years of investment experience in private equity across Technology Services, Financial Services, and Healthcare. At Kedaara, she co-leads investments in the Technology Services sector and has been involved in investments such as Impetus, ASG, Universal NutriScience, GS Lab-GAVS, and Spandana. Prior to Kedaara, she was an Executive Director at Goldman Sachs (India office) in its Principal Investing Arm, focusing on financial services, IT services, and energy. She has completed all levels of the CFA Program (USA) and holds a Bachelor of Arts degree in Economics from Delhi University, where she was a rank holder. She is not related to any other Director of the Company.
Special Business
A special resolution was passed to issue Non-Convertible Debentures (NCDs) on a private placement basis. The details are as follows:

- Type of Issuance: Private Placement.
- Total Amount: An amount not exceeding ₹4,000 crore (Rupees four thousand crore only), inclusive of any premium on face value.
- Size of Issue: Up to ₹40,00,00,00,000/- (Rupees four thousand crore only).
- Listing: The NCDs are proposed to be listed. The specific stock exchange(s) for listing are to be ascertained.
- Tenure: The date of allotment, date of maturity, coupon/interest offered, schedule of payment, and other terms are to be determined by the Board or an authorized committee from time to time.

Important Note
This approval is a renewal of the limit under Section 42 of the Companies Act, 2013. The approval is valid for a period of one year, commencing from September 16, 2026, to September 15, 2027.
