Key Decision

The Board of Directors of Spice Islands Industries Limited, by way of Circular Resolution passed on June 26, 2026, approved:

1. Execution of an Agreement-cum-Memorandum of Understanding (MOU) with Erva Food and Beverages Private Limited (FSSAI Licence No. 12123801000532) for manufacture, bottling, packaging, supply, marketing and other commercial arrangements in relation to Packaged Drinking Water, Club Soda, Flavoured Soda and allied products.

2. Authorization of Mr. Dhaval G. Chheda, Chief Executive Officer (CEO) of the Company, to negotiate, finalize, execute and sign the aforesaid Agreement-cum-Memorandum of Understanding and all ancillary documents on behalf of the Company.

Agreement Details

  • Counterparty: Erva Food and Beverages Private Limited
  • Purpose: Commercial arrangements for Packaged Drinking Water, Club Soda, Flavoured Soda and allied products covering manufacture, bottling, packaging, supply, and marketing
  • Shareholding: The Company does not hold any shareholding in Erva Food and Beverages Private Limited
  • Significant Terms: The MOU sets out broad commercial understanding on mutually agreed terms. It does not confer any special rights including right to appoint directors, first right to share subscription, or restrictions on capital structure changes
  • Related Party Status: Erva Food and Beverages Private Limited is not related to the Promoter, Promoter Group or Group Companies of the Company
  • Transaction Type: Does not fall within related party transactions and is at arm's length
  • Governance: No provision for appointment of nominee directors
  • Conflict of Interest: No potential conflict of interest arising from the agreement

Authorization

Mr. Dhaval G. Chheda, CEO, is authorized to perform all acts necessary to give effect to the resolution, including executing all related documents and amendments.

Effective Date

The Circular Resolution was passed by requisite majority of Directors and became effective on June 26, 2026.
